Genesis Acquisition Corp. Announces Private Placement
Kelowna, British Columbia — February 9, 2026 — Leads & Copy — Genesis Acquisition Corp. (TSXV: REBL.P) intends to complete a non-brokered private placement to raise up to $325,000 in gross proceeds.
The company plans to issue up to 1,625,000 common shares at a price of $0.20 per share. The offering is subject to the approval of the TSX Venture Exchange (TSXV).
The net proceeds from the private placement will be used to cover costs associated with the completion of its qualifying transaction with Nusa Nickel Corp. Genesis Acquisition anticipates loaning up to $162,500 of the proceeds to Nusa. The loan would bear interest at 8.5% per annum and mature one year from the date the funds are advanced. It would also be secured against Nusa’s assets.
The loan may be forgiven if the proposed qualifying transaction is not completed. Any such loan will be contingent upon the receipt of all necessary approvals, including the TSXV’s approval.
Certain directors and officers of Genesis Acquisition may participate in the private placement. If so, the private placement would be considered a related party transaction under Multilateral Instrument 61-101.
Genesis Acquisition also announced that on January 30, 2026, it entered a letter agreement with Nusa to extend the dates for Nusa to deliver audited financial statements and a technical report to February 13, 2026, and February 28, 2026, respectively.
Genesis Acquisition Corp. is a capital pool company created under the policies of the TSXV. Its primary business is identifying and evaluating opportunities for acquiring interests in assets or businesses.
