Rottenstone Gold Announces Results of Annual General and Special Meeting
Vancouver, British Columbia — February 26, 2026 — Leads & Copy — Rottenstone Gold Inc. (CSE:SK) announced that all matters presented to shareholders were approved at its annual general and special meeting (AGSM) held earlier today in Vancouver, British Columbia.
Endeavor Trust, the Issuer’s transfer agent, served as scrutineer for the AGSM. Its voting report will be available on SEDAR+ under the Issuer’s profile.
Rottenstone Gold reported that a shareholder who is a Control Person cast 17,230,900 common share votes against certain special business, specifically the Delisting Resolution. These votes represented a majority of the Issuer’s outstanding common shares.
Excluding the Control Person Votes, the special matter pertaining to a potential delisting of the Issuer’s shares from the CSE was approved. Disinterested shareholders approved the Delisting Resolution by 99.71%, but this does not obligate the Issuer to pursue a delisting.
All other matters, including director nominations, received unanimous shareholder approval.
The AGSM did not cover any shareholder voting matters pertaining to the Proposed Royalty Transaction announced on December 10, 2025. The Issuer plans to provide an update on the Proposed Royalty Transaction in the near future.
The Issuer plans to call its next annual shareholder meeting, including matters related to its fiscal year ended December 31, 2025, in the ordinary course of business.
