February 18, 2026 — Leads & Copy — Shareholders of MTL Cannabis Corp. approved Canopy Growth Corporation’s acquisition of MTL at a special meeting held February 17, 2026.
The plan of arrangement received support from 99.97% of all shares cast in favor of the resolution approving the transaction. Excluding votes attached to MTL Shares required to be excluded, 99.80% of MTL Shares were cast in favor.
Approximately 89% of MTL Shareholders participated in the vote.

Luc Mongeau, Chief Executive Officer, Canopy Growth, said the shareholder support marks a milestone toward completing the combination of the two companies that will create Canada’s leading medical cannabis company.
Mongeau added that combining MTL’s cultivation capabilities with Canopy Growth’s scale will create a more robust and competitive platform for long-term success in the Canadian and regulated international markets.
The closing of the transaction is expected to occur before the end of March 2026. The closing remains subject to customary closing conditions, including final court and other third-party approvals.
